The Goldie Partner Program
Partner Agreement
The agreement between Keevia Insurance and each Goldie referral partner.
1. Who this agreement is between
This Partner Agreement (the "Agreement") is between Keevia Insurance, LLC ("Keevia," "we," "us"), a licensed insurance agency that operates the Goldie™ program ("Goldie"), and the person or organization that applies to and is accepted into the Goldie Partner Program ("Partner," "you"). If you accept on behalf of an organization, you confirm you are authorized to bind it.
The Program Terms are part of this Agreement. If the two conflict, this Agreement controls. PRESTO Network provides the technology platform for Goldie. It is not an insurance agency and is not a party to this Agreement.
2. What the program is
Partners introduce people who are turning 65, already on Medicare, or otherwise eligible for Medicare to Goldie. Goldie's licensed agents then contact those people to review their Medicare options. Partners are paid a referral fee for each Confirmed Referral as described in Section 6. Your role is limited to making introductions.
3. Joining the program
Every application is reviewed. We may accept or decline any application for any reason. You become a Partner when we approve you and send your personal referral link and dashboard. You agree that the information in your application is accurate and that you will keep it current.
4. What you may and may not do
You may let people know that Goldie's licensed agents can help them review their Medicare options, and share your Goldie link, QR code and the approved materials in your dashboard.
You will not:
- Discuss, describe, compare or recommend any specific Medicare plan, carrier, benefit, premium, cost, network or drug coverage, or answer questions about them. Refer those questions to Goldie's licensed agents.
- Say or imply that you are a licensed insurance agent for Goldie, that Goldie is part of or endorsed by Medicare or any government agency, or that anyone will qualify for any plan, savings or benefit.
- Collect anyone's Medicare number, Social Security number, health information, medications or financial information.
- Submit anyone's contact information to Goldie without that person's permission. The simplest way is to give them your link so they contact us themselves.
- Call, text or email people on Goldie's behalf who have not agreed to hear from you, buy or rent contact lists, or use auto-dialers or pre-recorded messages to promote Goldie.
- Offer or give anyone cash, gifts, discounts or anything of value for contacting Goldie or for enrolling in a plan.
- Pressure anyone, or present Goldie in a way that is false, misleading or unfair.
- Create your own ads, websites, social accounts, domain names or search ads using the Goldie or Keevia names, or the word "Medicare," without our written approval, or bid on those names in paid search.
- Change the approved materials, except to add your organization's name where a placeholder is provided.
When you share Goldie publicly, such as on social media or in a newsletter, you will clearly disclose that you may receive a referral fee, as required by the Federal Trade Commission's endorsement rules.
5. Following the law
Each party will follow all laws that apply to it, including Medicare marketing rules, state insurance laws, the Telephone Consumer Protection Act, CAN-SPAM, FTC rules and privacy laws. Referral fees paid to people who are not licensed insurance agents are limited by federal Medicare rules and, in some states, by state law. You are responsible for confirming that you may accept a referral fee where you live and work. If you hold any professional license, you are responsible for following its rules. We may pause or end referral fees in any state, for any partner type or for any plan type if we believe paying them would not comply with the law.
6. Referral fees
We pay a referral fee for each Confirmed Referral, as defined in the Program Terms. The current fee is $50 per Confirmed Referral, except $25 for Partners located in Tennessee, where state law caps referral fees. Your fee is based on the state in your partner application. Referral fees are paid for introductions only. They are never based on whether a person buys, enrolls in, keeps or changes any plan, or on the type of plan they choose.
We may change the fee or the definition of a Confirmed Referral with at least 30 days' notice. Changes do not reduce fees for referrals already confirmed.
7. How and when you are paid
- Schedule: Fees for referrals confirmed in a calendar month are paid by the 15th of the following month.
- Method: Payments are made by direct deposit through our banking partner, Mercury. Before your first payment you must complete the secure payout setup, including an IRS Form W-9 and your payment details. We do not store your tax ID or bank account numbers.
- Held payments: Fees earned before your payout setup is complete are held and paid on the next payment date after it is complete. Fees not claimed within 12 months after this Agreement ends may be forfeited.
- Taxes: You are responsible for your own taxes. We will issue tax forms, such as Form 1099, when required.
- Questions about a payment: Tell us within 60 days of a payment date if you believe something is missing or wrong. Our records, shown in your dashboard, control unless shown to be in error.
- Adjustments: We may withhold, reverse or offset fees for referrals that turn out to be duplicates, ineligible, obtained in breach of this Agreement or the result of fraud or error.
8. Your dashboard and link
Your link and dashboard are personal to you. Keep your dashboard link private. Referrals are credited to the link or code a person uses when they contact Goldie. If more than one Partner refers the same person, the first referral we receive gets the credit. Your dashboard shows a person's first name and last initial and the status of each referral, never their plan, health or contact details.
9. Privacy of the people you refer
Information about the people you refer belongs to them and to Goldie. You will not ask Goldie for, or try to obtain, any information about their Medicare coverage or health. Goldie handles their information under its own privacy practices and applicable law.
10. Use of the Goldie name and materials
While you are a Partner, we give you a limited, non-exclusive, revocable, non-transferable license to use the Goldie name, logo and approved materials only to promote Goldie as this Agreement allows. Goldie™ and the Goldie logo are trademarks of Keevia Insurance, LLC. We own the Goldie name, logo, materials and dashboard. You may let us list your organization's name as a Goldie partner. You may ask us to stop at any time.
11. Confidential information
You will keep private any non-public information we share with you about Goldie, Keevia, our agents, our customers or our business, and use it only to take part in the program. This continues for two years after this Agreement ends, and indefinitely for information about the people you refer. Nothing here stops you from reporting a possible violation of law to a government agency.
12. Independent relationship
You are an independent party, not our employee, agent, broker, joint venturer or franchisee. You have no authority to make promises or sign anything for Keevia or Goldie. You are responsible for your own costs, staff and conduct. Nothing in this Agreement requires you to refer any minimum number of people.
13. Term and ending the agreement
This Agreement starts when we approve you and continues until either party ends it. You may end it at any time by emailing partners@keeviainsurance.com. We may end it at any time with 30 days' notice, or immediately if you breach this Agreement, act in a way that could harm the people you refer or our reputation, or if continuing would not comply with the law. When it ends, you will stop using the Goldie name, link and materials. Fees for referrals confirmed before the end date will be paid as normal, unless they are withheld under Section 7.
14. Responsibility for claims
You will defend and indemnify Keevia, its owners, employees, agents and service providers against claims, fines and losses, including reasonable attorneys' fees, that arise from your breach of this Agreement, your violation of law, or statements you make that are not in the approved materials.
15. Limits on liability
The program, dashboard and materials are provided as available, without warranties of any kind beyond those stated here. Neither party is liable to the other for indirect, incidental, special or consequential damages, or lost profits. Except for amounts owed under Section 14, unpaid referral fees, or a party's fraud or willful misconduct, each party's total liability under this Agreement is limited to the referral fees paid or owed to you in the 12 months before the claim.
16. Changes to this agreement
We may update this Agreement or the Program Terms. We will post the new version with its effective date and email you about material changes at least 30 days before they take effect. If you keep taking part after that date, you accept the change. If you do not agree, you may end this Agreement before it takes effect.
17. General terms
- Governing law: This Agreement is governed by the laws of the State of Florida and applicable federal law. Any dispute will be brought in the state or federal courts serving Volusia County, Florida, and both parties consent to those courts.
- Notices: We send notices to the email address in your partner account. You send notices to partners@keeviainsurance.com.
- Assignment: You may not transfer this Agreement without our written consent. We may transfer it to an affiliate or to a successor of the Goldie program.
- Severability and waiver: If any part is found unenforceable, the rest stays in effect. Not enforcing a term is not a waiver of it.
- Survival: Sections 7, 9, 11, 14, 15 and 17 continue after this Agreement ends.
- Entire agreement: This Agreement and the Program Terms are the entire agreement about the program and replace any earlier discussions.
- Acceptance: You accept this Agreement by checking the box on the partner application, or by taking part in the program.
